Ziele, Inhalte und Methode der Lehrveranstaltung

Aims: The course aims at developing a fine-grained understanding of the key concepts, issues and practices of corporate governance in the contemporary global business organisations. It endeavours to create an ability, in the course participants, to synthesise and apply the acquired knowledge in their respective collaborative research projects.
Contents:
1. Firms, organisations and contracts
2. Corporate governance options for the local subsidiaries of multinational enterprises
3. Contractual vs. Relational governance
4. Ownership strategies in international business
5. The MNC’s degree of control over foreign subsidiaries
6. Agency perspectives on corporate governance of Multinational Enterprises
7. Bargaining power perspective of global business
8. The impact of corporate governance on Multinational firms’ performance

Methods: The course will be organised following a lecture format characterising interactive discussions on the various aspects of corporate governance in global business context. Students are expected to come prepared with the course material to be supplied through Moodle at beginning of the course. Students will write group assignment(s) that might be discussed/presented in the last of week of June.

Art der Leistungskontrolle und erlaubte Hilfsmittel

Written Exam: There will be a comprehensive written examination to assess the learning accumulated during class discussions. The exam. will consist of multiple choice questions, True/False questions and one essay question.
Group Assignment:
Students will work in teams consisting of up to 3 students to conduct a case study. They will be assigned comprehensive case(s) encompassing the dynamics of the corporate governance in a global business context. They will analyze the case(s) and would present their own assessment and solution(s) to the issues discussed in the case while making an appeal to the different theories/phenomena/concepts discussed/debated during the lectures.
Public Lectures: Public lectures are an integral part of this course. In these lectures, experts from the relevant field of study held discussion on the various topics/aspects relating to the global business. Students are strongly encouraged to attend these public lectures. Besides accumulating commendable knowledge, they could earn certain bonus points for their participation in these public lectures. Mindestanforderungen und Beurteilungsmaßstab

Assessment Criteria: Written Exam. 60%
Group Assignment 30%
Quizzes/Class participation 10%
Minimum Requirements: For successful completion of the course, a student must secure at least 50% score in the written examination.

Ziele, Inhalte und Methode der Lehrveranstaltung

The course aims at developing a fine-grained understanding of the key concepts, issues and practices of corporate governance in the contemporary global business organizations.
The course will be organised following a lecture format characterising interactive discussions on the various aspects of corporate governance. Student are expected to come prepared to class and will also give short talks about chosen or assigned topics.

Topics discussed in the coure include org. theory, org. structure, org. design, org. effectiveness, external environment of organizations, interorganizational relations, governance mechanisms, ownerships patterns, role of the board of directors, role of top management, corporate social responsibility, sustainability, stakeholder analysis, ethical decision making, etc.
