Information

Ziele, Inhalte und Methode der Lehrveranstaltung

The course will prepare students for drafting business contracts in the English language, with a special emphasis on cross-border mergers and acquisitions and joint venture contracts. Students will become acquainted with the correct structuring of M&A and joint venture agreements and will be put in a position to negotiate typical key areas of such contracts. The course will draw on case studies and present an insight into real world drafting.

The following topics will be covered:
- Understanding the differences between common law and civil law
- Importance of clear contract drafting and the dominance of the Anglo-American style
- English as the contracting language - English language drafting / drafting mistakes
- Trends in international M&A and joint venture activity
- Confidentiality agreements
- Letter of Intent, Memorandum of Understanding, Heads of Agreement
- Due Diligence
- Contract drafting essentials
- What is a joint venture? How is a joint venture different from an M&A deal?
- Contract structure essentials
- Specific issues of international contracts - translation problems and cultural differences

RA Dr. Paul Luiki, JD is a partner at Fellner Wratzfeld & Partner Rechtsanwälte GmbH. His main area of expertise is the drafting of international contracts, in particular M&A and Joint Venture Agreements, in which he has more than 20 years of experience. He is from the US (English Native Speaker) und worked as a lawyer in the US before moving to Austria, where he is also admitted to the bar.

Art der Leistungskontrolle und erlaubte Hilfsmittel

There will be a term paper and a written examination at the end of each semester. Active course participation and contribution in the form of short presentations will be required.

Mindestanforderungen und Beurteilungsmaßstab

The Course will not only provide the participants with specific information on M&A and Joint Venture Agreements, but will also focus on drafting and negotiating in the English language. Students will have the possibility to obtain basic core knowledge to prepare themselves for working as a corporate lawyer at a law firm or company.

Prüfungsstoff

The course will consist of seminars á 90 minutes, with introductions to the topic, discussion and short presentations of the course participants. The first sessions will provide necessary background knowledge vital for effective contract drafting. Thereafter students will be involved in drafting contract clauses, looking for solutions to tricky drafting issues, negotiating specific contract clauses and discussing real world case studies.
