Information
Aims, contents and method of the course
The course discusses firms’ corporate governance structures as a reaction to different agency problems. These agency problems include conflicts of interest between shareholders and managers, debt holders, minority shareholders, and other stakeholders. These agency problems will be used to analyze and explain corporate governance mechanisms such as the allocation of control rights, executive compensation, and the board of directors. The course will also cover relevant empirical work that analyzes the determinants an effects of different corporate governance mechanisms. The course will also look at the corporate governance of banks and its role in the financial crisis.
Assessment and permitted materials
Students are required to attend and actively participate in class. There will be two exams. Additional requirements will be announced in class.
Minimum requirements and assessment criteria
Students must have completed the compulsory Corporate Finance 1. Students are also expected to have completed undergraduate mathematics courses in multivariable differential calculus and single variable integral calculus
