Ziele, Inhalte und Methode der Lehrveranstaltung
This course will focus on the Anglo-American law of business organizations, with an emphasis on U.S. law. We will examine the following: (1) the law of agency, (2) the law of unincorporated business associations, such as partnerships, and (3) the law of corporations. We will focus on private corporations, not public corporations, which are regulated under the U.S. federal securities laws. We will also discuss planning-related questions to provide an idea of the issues faced by corporate lawyers and how they might respond to questions by clients. All classes will be held in English and participants should have a good command of the English language. No prior knowledge of U.S. law or business law is necessary.
Art der Leistungskontrolle und erlaubte Hilfsmittel
Assessment will be through a written final examination taken at the conclusion of the class (70% of the final grade) and class participation (30% of the final grade).
Mindestanforderungen und Beurteilungsmaßstab
By the end of the course, students should have an understanding of the following: (i) The basic doctrinal topics covered in the course, such as theories of agency; the legal duties of agents, partners, and corporate directors; and the liability of corporate actors, such as shareholders and directors; (ii) the fundamental organization and basic financial structure of corporations and unincorporated entities, such as partnerships; (iii) basic principles of corporate governance and the roles and duties of corporate officers and directors; and (iv) the role of corporate lawyers and the challenges faced by lawyers advising business clients. Grading of the final exam will be based on the comprehensiveness, soundness and accuracy of the students’ answers.
Prüfungsstoff
The final exam will consist of several multiple-choice questions (50% of the final exam grade) and several essay or short answer questions (50% of the final exam grade).
Literatur
The reading list will be a series of case excerpts and other readings from a book on business associations entitled Business Associations: Cases and Materials. In addition, the reading list will include a series of statutory provisions and provisions from the Restatement of Agency or other Restatements. The reading list, and a copy of the readings, will be distributed before the first day of class.
