Ziele, Inhalte und Methode der Lehrveranstaltung
This course familiarizes participants with the discourse on governance of international firms. It will offer an introduction to theory and concepts in corporate governance. More specifically, the focus will be on understanding a stakeholder governance perspective towards a firm’s strategic planning so that a firm is/should be managed in the interests of a broad set of stakeholders to achieve maximum economic and social value over time.

Assignments (50%) and final exam (50%).

The course will follow a lecture format characterized by interactive discussions on the various aspects of corporate governance. Student are expected to come prepared to class and will also give short talks about chosen or assigned topics.Topics discussed in the course include org. theory, org. structure, org. design, org. effectiveness, external environment of organizations, interorganizational relations, governance mechanisms, ownerships patterns, role of the board of directors, role of top management, corporate social responsibility, sustainability, stakeholder analysis, and ethical decision making.
