Information
Aims, contents and method of the course
Aims: The course will provide students with a basic overview of M&A and Joint Venture transactions. In addition, the course will highlight drafting points. The goal is to provide students with basic core knowledge to prepare themselves for working on M&A and Joint Venture transactions as a corporate lawyer at a law firm or company.Contents: Basics of M&A and Joint Venture agreements, structure and analysis of M&A Joint Venture agreements, in-depth analysis of key contractual provisions, proper drafting of contractual provisions.Method: The course will consist of sessions of each 90 minutes. The course is practice-oriented in that a specific M&A contract and Joint Venture agreement will be analyzed. The course also is interactive in that questions for each topic are provided to be discussed in the subsequent session.
Assessment and permitted materials
Minimum requirements and assessment criteria
There will be a term paper and a written examination at the end of each semester. Active course participation and contribution in the form of short group presentations will be required.
Examination topics
The students will be assessed on the grounds of the term paper, the exam and the short group presentation.
Reading list
Reading materials, which are voluntary, will be provided by the instructor.
