Aims, contents and method of the course

Aims: The course will provide students with a basic overview of M&A and Joint Venture transactions. In addition, the course will highlight drafting points. The goal is to provide students with basic core knowledge to prepare themselves for working on M&A and Joint Venture transactions as a corporate lawyer at a law firm or company.

Contents: Basics of M&A and Joint Venture agreements, structure and analysis of M&A Joint Venture agreements, in-depth analysis of key contractual provisions, proper drafting of contractual provisions.

Method: The course will consist of sessions of each 90 minutes. The course is practice-oriented in that a specific M&A contract and Joint Venture agreement will be analyzed. The course also is interactive in that questions for each topic are provided to be discussed in the subsequent session.

Assessment

Assessment and permitted materials

There will be a group paper and a written examination at the end of each semester.

Minimum requirements and assessment criteria

The students will be assessed principally on the exam.

Examination topics

The examination topics will be comprised of the material provided in the power point presentations as explained by the instructor. The exam will take place on January 24, 2023.

Reading list

Reading materials, which are voluntary, will be provided by the instructor.
