Aims, contents and method of the course

Studenten erstellen in kleinen Teams und mit anwaltlicher Unterstützung auf Basis eines zur Verfügung gestellten Due Diligence-Berichts einen Anteilskaufvertrag (SPA) bzw ein mark-up und verteidigen diesen in abschließender direkter mündlicher Verhandlung gegenüber der Gegenpartei.
Content: Students work in small teams with lawyer-support and have to draft a Share Purchase Agreement or a Mark-up thereto on the basis of a Due-Diligence-Report which will be provided. They have to defend their drafts in simulated live-negotations against the other party to the deal.

Assessment and permitted materials

Beurteilung der schriftlichen SPA-Ausarbeitungen und mündliche Verhandlung (Argumentation).
Assessment: Evaluation of SPA-drafts and negotiation skills by jury.

Minimum requirements and assessment criteria

Vermittlung praktischer und theoretischer Kenntnisse, die für die Erstellung eines SPA notwendig sind; Üben außergerichtlicher Verhandlungssituation und mündliche Verteidigung des eigenen Vertragsentwurfes.
Goals: Relaying of practical and theoretical knowledge required for the drafting of an SPA; practicing of out-of-court negotiations and defending of one´s own SPA-draft.

Examination topics

Vortrag durch LV-Leiter ua. ; selbständige Erarbeitung eines Anteilskaufvertrages durch Studenten mit anwaltlicher Unterstützung; Verhandlung vor Publikum und Jury.
Methods: Presentation by lecturer; independent drafting of a SPA by students with support from lawyers; negotiation in front of an audience and a jury.
