To enhance the content of the course through discussion and case studies
o Exam preparation
Based on the examination of the concept and the necessary elements of commercial transactions
students will have a close understanding how the special provisions for commercial transactions are
being applied in practice. Furthermore, they will be familiar with the procedure and the legal
consequences of a transfer of undertakings respectively shareholdings. Finally, students will be
able to distinguish the different types of companies as regards their formation, their operation and
their termination; thereby they will have the ability to assess the (commercially and legally)
appropriate company form and type of shareholding for respective purposes.

- Company Law
This course examines the most important rules of Austrian Commercial Law as regulated in the
recently amended "Business Enterprise Code" (Unternehmensgesetzbuch, UGB), covering in
particular the concept of commercial transactions, rules on trade names, registration of companies,
transfer of companies and shareholdings as well as proxy (Prokura).
In addition, the course provides an overview of the most important companies existing under
Austrian Law (in particular joint stock company, limited liability company, general partnership,
limited partnership, civil law association, silent partnership) with an emphasis on practically
relevant topics such as the formation of companies, company bodies, rights and obligations of
shareholders, management and representation of companies and termination of companies.
