Information

Aims, contents and method of the course

This course provides students with an overview of national corporate law as well as fundamental aspects of international corporate law, demonstrating the immense relevance of this area of law for business life. Starting with a discussion of general principles of corporate law and the fundamental differentiation between partnerships and corporations, the course goes on to cover the most important corporate forms (in particular civil law partnership, general partnership, limited partnership, limited liability company and stock corporation) from their formation to their termination.
After completing the course, the students will know the characteristics, specifics and possible uses of the individual company forms as well as the legal consequences associated with joining them, and the relevant decision-making criteria for choosing the appropriate company form with regard to entrepreneurial activity.

Assessment and permitted materials

Written course examination at the university in German.
Only unannotated law editions and non-electronic dictionaries may be used for the examinations.
Permissible in the law editions are: Underlining; highlighting etc and pure paragraph references.
Special problem: "Post-its": the insertion of "Post-its" is generally allowed.
However: post-its may NOT be labeled!

Minimum requirements and assessment criteria

The final grade of the overall examination is composed of the points of an exam (duration: 90 minutes) at the university in German.

A total of 60 points are awarded. From 31 points, the overall examination is positively completed.

Grade key:
from 31 points - sufficient, from 39 points - satisfactory, from 47 points - good, from 55 points - very good.

The use of an annotated law text or labeled post-its in presence exams is not allowed.

There is also the possibility of earning three bonus points. These can only be awarded in the case of a positive assessment. A negative mark can NOT become positive through them. Even without these bonus points, the full score can be achieved.
The bonus points can be earned by correctly answering 200 questions in the learning app "MooDuell" in the period between two examination dates. The bonus points must be claimed from the responsible person at the institute via e-mail. Please refer to the relevant course section on Moodle for the latest information and instructions on how to start using the app.
