Information

Aims, contents and method of the course

The focus of this course is an introduction to capital market and securities law. The teaching of basic knowledge and practical knowledge in securities law (concept of securities and explanation of its functions, characteristics, structuring options) is also intended to create an understanding of the background and intentions of capital market law, which is explained in a practical manner on the basis of several focal points (in particular insider law and market abuse, stock exchange law, prospectus law).
The material will be dealt with by means of lectures given by the course instructors, including practice-related questions and cases. Slides or PowerPoint presentations are used; these are available for download on the Institute's homepage (http://privatrecht.univie.ac.at). Active participation of the students in the course is very welcome.

Assessment and permitted materials

The assessment is based on oral participation (10% = 8 points) and two written exams in German (45% each = 36 points each, duration of each exam: 90 minutes) at the end of the course. From 51% (= 41 points) the course is positively completed. In case of exams at the university: The use of unannotated law editions and non-electronic dictionaries is allowed during the exam ( Post-Its: only unlabeled allowed - neither numbers nor headings; different colors, sizes are allowed). In the case of online examinations, the following applies: the examinations take place as open-book examinations.

Minimum requirements and assessment criteria

Attendance is compulsory throughout. Students may be released from compulsory attendance for a total of two units for good cause. In the 1st unit, attendance is compulsory without exception. Students who do not show up will be deregistered from the course, unless there is an important provable reason for their absence (apology and proof of absence before the 1st unit to Mr. Secklehner; jakob.secklehner@univie.ac.at).
The assessment is based on oral participation (10% = 8 points) as well as two written exams in German (45% each = 36 points each, duration of each exam: 90 minutes) at the end of the course. A maximum of 80 points will be awarded. From 51% (= 41 points) the course is positively completed. Grade key: from 41 points - sufficient, from 52 points - satisfactory, from 62 points - good, from 72 points - very good).
