Aims, contents and method of the course

This course provides students with an overview of the legal principles relevant to a corporate group and deals with specific problems raised by corporate mergers from a legal point of view. In particular, questions are asked about the permissibility and the legal prerequisites for the formation of certain mergers, about the effects of a group on the constitution of the companies involved in it, about necessary legal precautions for the protection of (minority) shareholders, creditors and investors as well as about participation rights of the employees working in a group. Starting with a presentation of the various group definitions and concepts in Austrian law, the fundamentals of group formation and special aspects of the conclusion of inter-company agreements are discussed. Following on from this, practical issues such as group-specific features of corporate organisation, the role of corporate bodies in a group, questions of liability and legal enforcement in a group as well as labour law aspects of group law are dealt with.

Method:
Face-to-face lecture or, if applicable, digital lecture via the Moodle platform (the course is held in German).
The course materials for the individual course units are made available to the students according to the specified time and topic schedule of the course (available in Moodle), so that the chosen structure and the desired content of the course can be ensured. After the uploading of the respective documents the students can access them at any time. In any case, the documents made available remain online until the end of the course.

At the end of the course, students should have in-depth knowledge of issues relevant to group law and be able to apply this knowledge to practical cases.

Assessment and permitted materials

Students can achieve a total of 40 points in the course: 36 points are awarded in the two examinations (if applicable, in digital form via the Moodle platform), 4 points can be obtained through participation in the course units. Examination: written examinations with open questions; duration 45 minutes each.
Grade key for the course: from 21 points grade 4, from 26 points grade 3, from 31 points grade 2, from 36 points grade 1.

Copying from the Internet or from textbooks in the case of digital online examinations (open-book examinations) and the use of an annotated law text or labelled post-its in the case of attendance examinations is deemed to be unauthorised. Examination topics

At the beginning of the course, the students are precisely informed of the specific teaching materials to be used for the acquisition of the course material: These are course scripts, textbooks and codes as well as digital lecture slides (PP presentation), which are made available online via the Moodle platform.
