Aims, contents and method of the course
This course provides students with an overview of the legal principles relevant to a corporate group and deals with specific problems raised by corporate mergers from a legal point of view. In particular, questions are asked about the permissibility and the legal prerequisites for the formation of certain mergers, about the effects of a group on the constitution of the companies involved in it, about necessary legal precautions for the protection of (minority) shareholders, creditors and investors as well as about participation rights of the employees working in a group. Starting with a presentation of the various group definitions and concepts in Austrian law, the fundamentals of group formation and special aspects of the conclusion of inter-company agreements are discussed. Following on from this, practical issues such as group-specific features of corporate organisation, the role of corporate bodies in a group, questions of liability and legal enforcement in a group as well as labour law aspects of group law are dealt with.

Students can achieve a total of 40 points in the course: 36 points are awarded in the two written examinations, 4 points can be achieved through participation in the course units. Exam: Written exams with open questions, duration 45 minutes.
Grading scale for the course: from 21 points grade 4, from 26 points grade 3, from 31 points grade 2, from 36 points grade 1.The use of an annotated legal text or labeled post-its in face-to-face examinations is not permitted.
