Aims, contents and method of the course

In the course, the forms of reorganization of companies (in particular mergers, conversions, demergers, contributions, real division) as well as their aspects and legal consequences under company law, civil law and tax law are discussed. At the end of this course, students should have a solid knowledge of reorganization law and be able to apply their knowledge of the legal and tax consequences of reorganizations in practice.
Most of the material will be dealt with digitally and asynchronously by sending cases and questions to be worked out. A forum will be set up on moodle where questions concerning the content can be discussed interactively. All units will take place digitally and synchronously at the specified times.

Assessment and permitted materials

The performance assessment is based on cooperation (10% = 4 points) and two online exams in German (90% = 36 points). From 21 points the course is positively completed. Copying from the Internet or from textbooks in online open book exams and using an annotated law text or labeled post-its in face-to-face exams is considered unauthorized. Minimum requirements and assessment criteria

Attendance is compulsory throughout the synchronous units. Students can be released from compulsory attendance for a total of one unit for an important reason. In the 1st unit, attendance is compulsory without exception. Students who do not show up will be deregistered from the course unless there is an important provable reason for their absence (excuse and proof before the 1st unit to Dr. Alexander Wimmer, alexander.wimmer@univie.ac.at).
The assessment is based on oral participation (10 % = 4 points) as well as written exams (90 % = 36 points, duration of written exam: 60 minutes) in German at the end of the course. From 21 points on, the course is positively completed. Grade key: from 21 points - sufficient, from 26 points - satisfactory, from 31 points - good, from 36 points - very good.
