Permissibility and legal requirements for the formation of certain business combinations and groups of companies; effects of the formation of a group on the constitution of the companies involved in it; necessary legal provisions for the protection of (minority) shareholders, creditors and investors; and participation rights of employees working in a group.Starting with a presentation of the various group definitions and concepts in Austrian law, the fundamentals of group formation and special aspects of the conclusion of inter-company agreements are discussed. Following on from this, practical issues such as group-specific features of corporate organisation, the role of corporate bodies in a group, questions of liability and legal enforcement in a group as well as labour law aspects of group law are dealt with.At the end of the course, students should have in-depth knowledge of issues relevant to group law and be able to apply this knowledge to practical cases. The course contents are dealt with by means of a presentation by the lecturer, including practice-related questions and cases. A PowerPoint presentation is used, which can be downloaded from the website of the Institute (https://privatrecht.univie.ac.at) or the Moodle platform. Active participation of the students in the course is desired.
