Aims, contents and method of the course

This course provides students with an overview of the legal principles relevant to a group of companies and deals with specific problems raised by business combinations from a legal point of view. In particular, the following topics and issues are discussed:
Permissibility and legal requirements for the formation of certain business combinations and groups of companies; effects of the formation of a group on the constitution of the companies involved in it; necessary legal provisions for the protection of (minority) shareholders, creditors and investors; and participation rights of employees working in a group.

Starting with a presentation of the various group definitions and concepts in Austrian law, the fundamentals of group formation and special aspects of the conclusion of inter-company agreements are discussed. Following on from this, practical issues such as group-specific features of corporate organisation, the role of corporate bodies in a group, questions of liability and legal enforcement in a group as well as labour law aspects of group law are dealt with.

At the end of the course, students should have in-depth knowledge of issues relevant to group law and be able to apply this knowledge to practical cases.

The course contents are dealt with by means of a presentation by the lecturer, including practice-related questions and cases. A PowerPoint presentation is used, which can be downloaded from the website of the Institute (https://privatrecht.univie.ac.at) or the Moodle platform. Active participation of the students in the course is desired.

Assessment and permitted materials

The performance assessment is based on oral participation ( 4 points) in the course, as well as on two written exams (= 18 points each, duration of each exam: 45 minutes) in German at the end of the course. At a total of 21 points, the course is positively completed. The use of unannotated law editions and non-electronic dictionaries is permitted in the exams ( Post-Its: only unmarked permitted - neither numbers nor headings; different colours, sizes are permitted). Minimum requirements and assessment criteria

In principle, attendance is compulsory throughout the course. Students can be released from compulsory attendance for a total of one unit for an important reason. In the first unit, attendance is compulsory without exception. Students who do not show up will be deregistered from the course unless there is an important provable reason for their absence (apology and proof before the first unit to Dr. Knauder; christian.knauder@univie.ac.at).

At a total of 21 points, the course is positively completed. Grade key for the course: from 21 points grade 4, from 26 points grade 3, from 31 points grade 2, from 36 points grade 1.
