Aims, contents and method of the course
This course, held in German, deals with the legal issues of corporate governance. The legislators as well as other bodies active in the field of corporate governance (such as the Austrian Working Group for Corporate Governance) have created extensive statutory and non-statutory rules for the best possible management of listed stock corporations.After a repetition of relevant provisions of Austrian and EU law, securities law and stock exchange law (including Capital Markets Act, MAR, MiFID II, Shareholder Rights Directive, Taxonomy Regulation), the Austrian Corporate Governance Codex will be explained and discussed. In addition, practical examples regarding the management of listed stock corporations will be discussed in order to make the background and targets of the rules of the Codex understandable.A particular focus of this semester will be the EU Taxonomy Regulation and ESG issues.The aim of this course is that the participants know and understand the fundamentals of how to manage listed (and publicly owned) companies from a legal perspective.The course will be accompagnied by a Moodle. On every day on which a course unit takes place according to u:find, a lecture and accompanying research tasks as well as comprehension questions are made available for download in the course Moodle. These are to be worked through by the participants after downloading.
Minimum requirements and assessment criteria
As a general rule, participants must be present in all units. For important reasons, students can be exempted from participation for a maximum of two units.There are 2 written exams scheduled at the end of the semester:Exam 1: Monday 23.01.2023 16:45 - 18:15 Hörsaal 17
Exam 2: Monday, 30.01.2023 16:45 - 18:15 Hörsaal 17A maximum of 18 points can be awarded per exam; a maximum of 4 points are awarded for participation per semester.With 21 points or more the course is successfully completed (21 points or more – “Genügend”; from 26 points – “Befriedigend”; from 31 points – “Gut”; from 36 points – “Sehr Gut”).The written exams are open book exams. The use of the texts distributed via Moodle (Corporate Governance Code, etc.) is permitted.By participating in these exams, the students declare the do the exam independently, without the help of third parties and without unauthorized aids. Lecturers reerve the right to check any examination work for plagiarism (Turnitin). Within a period of four weeks following the last exam, the lecturers can also hold oral exams about the subject area of the course. This can also be done on a random basis and without any specific suspicion of cheating.

Grundsätzlich besteht Teilnahmepflicht in allen Einheiten. Aus einem wichtigen Grund können Studierende für insgesamt zwei Einheiten von der Teilnahme entbunden werden.Es sind am Ende des Semesters 2 schriftliche Klausuren angesetzt:Exam 1: Thursday 19.01.2023 16:45 - 18:15 Hörsaal 10
Exam 2: Thursday 26.01.2023 16:45 - 18:15 Hörsaal 10Je Klausur werden höchstens 18 Punkte vergeben; für Mitarbeit werden pro Semester höchstens 4 Punkte vergeben. Ab 21 Punkten ist der Kurs positiv absolviert (ab 21 Punkten – genügend; ab 26 Punkten – befriedigend; ab 31 Punkten – gut; ab 36 Punkten – sehr gut).Die digitalen schriftlichen Prüfungen sind open book Prüfungen. Erlaubt ist die Verwendung der Texte, die per Moodle ausgeteilt werden (Corporate Governance Kodex usw.). Mit Teilnahme an diesen erklären die Studierende die Prüfung selbständig, ohne Hilfe Dritter und ohne unerlaubte Hilfsmittel abzulegen.Die Prüfung kann zur Kontrolle einer Plagiatsprüfung unterzogen werden (Turnitin). Innerhalb der Beurteilungsfrist von vier Wochen können die Prüfer auch mündliche Nachfragen zum Stoffgebiet der Prüfung vornehmen. Assessment and permitted materials
Participants’ performance will be continuously controlled and points for active cooperation in the course will be awarded. Research tasks and comprehension questions are made available via Moodle for each course unit. These papers must be worked out and returned to the lecturers within one week; each returned paper will be counted as attendance in the respective course unit.
