Aims, contents and method of the course

This course, held in German, deals with the legal issues of corporate governance. The legislators as well as other bodies active in the field of corporate governance (such as the Austrian Working Group for Corporate Governance) have created extensive statutory and non-statutory rules for the best possible management of listed stock corporations.

After a repetition of relevant provisions of Austrian and EU law, securities law and stock exchange law (including Capital Markets Act, MAR, MiFID II, Shareholder Rights Directive, Taxonomy Regulation), the Austrian Corporate Governance Codex will be explained and discussed. In addition, practical examples regarding the management of listed stock corporations will be discussed in order to make the background and targets of the rules of the Codex understandable.

A particular focus of this semester will be the EU Taxonomy Regulation and ESG issues.

The aim of this course is that the participants know and understand the fundamentals of how to manage listed (and publicly owned) companies from a legal perspective.

The course will be accompagnied by a Moodle. Accompanying research tasks as well as comprehension questions are made available for download in the Moodle. These are to be worked through by the participants after downloading.

    Assessment and permitted materials

Participants’ performance will be continuously controlled and points for active cooperation in the course will be awarded.
