Information

Aims, contents and method of the course

This course is held in German. It is intended to provide an initial insight into the legal matters relevant to the establishment and operation of a company.

Starting with general principles of civil law (conclusion of contracts, use of general terms and conditions, disruptions of performance such as warranties).
There follows an examination of the concept of entrepreneur in the Austrian UGB and the legal consequences associated with the status of entrepreneur on the basis of selected examples.
Furthermore, with regard to the choice of the appropriate legal form for the operation of a company, a discussion of the most important company forms takes place. A comparative overview based on selected focal points (especially formation, management and representation as well as liability of shareholders and corporate bodies) is intended to highlight the respective characteristics as well as to show the "advantages and disadvantages" of the corporate forms most frequently encountered in business life.
