Aims, contents and method of the course
Assessment and permitted materials
The performance assessment is based on oral participation during the online units (10% = 4 points) and two written exams in German (45% each = 18 points each) at the end of the course. From 51% (= 21 points) the course is positively completed. In case of exams at the university: The use of unannotated law editions and non-electronic dictionaries is allowed during the exam ( Post-Its: only unlabeled allowed - neither numbers nor headings; different colors, sizes are allowed). In the case of online examinations, the following applies: the examinations take place as open-book examinations. Minimum requirements and assessment criteria
Attendance is compulsory throughout. Students may be released from compulsory attendance for a total of one unit for good cause. In the 1st unit, attendance is compulsory without exception. Students who do not show up will be deregistered from the course, unless there is an important provable reason for their absence (excuse and proof before the 1st unit to Mr. Secklehner, jakob.secklehner@univie.ac.at).

Examination topics
Questions and case studies on M&A transactions, drafting and structuring of corporate restructurings and acquisitions as well as questions on warranty and liability law or reorganization law issues related to M&A transactions. Sometimes drafting of contractual clauses of company purchase agreements.

The course is intended as an introduction to the subject of corporate transactions and provides a legal and structural basis for further understanding of contract design.Basic concepts of corporate transactions; legal basics of corporate transactions; process of an M&A transaction; concept and purpose of due diligence; structural considerations in acquisitions and mergers; overview of different acquisition phases; typical acquisition structures; possibilities of transaction structuring (share deal vs. asset deal) and their advantages and disadvantages; disadvantages from the perspective of buyer and seller; aspects of reorganization law; essential aspects of contract drafting; aspects of contract, liability and warranty law; signing and closing or conditions precedent; concept of reorganization, merger and demerger; overview of individual forms of reorganization.
